Mines and minerals due diligence in Zimbabwe
There is a lot of opportunity for investment in mining in Zimbabwe. A number of mining projects in the country are small scale, with a significant number being large scale mining projects. From a legal stand point it is important to verify the following:
- (a) Articles of Association;
- (b) Annual Returns;
- (c) Certificate of Incorporation;
- (d) Memorandum of Association;
- (e) List of Directors and Secretaries/Principal Officers;
- (f) Share Certificate;
- (g) Share Register;
- (h) Shareholder Certificate;
- (i) Tax Clearance Certificate.
Apart from viewing the corporate documents, it is also important to verify the authenticity of any mining certificates, special grants, ordinary lease, special lease or tributaries.
